These Terms of Service ("Terms") govern your use of greychair.digital and any proposal, statement of work, or project agreement between you and Grey Chair Digital LLC, doing business as Grey Chair Digital ("Grey Chair Digital," "Company," "we," "us," or "our"). By using the site or hiring us, you agree to these Terms.

Services

Grey Chair Digital LLC provides web design, website rebuilds, lead-capture setup, local SEO support, and light business automation for small businesses. Specific deliverables, timelines, and fees are defined in your written proposal or statement of work ("SOW"). If there is a conflict, the signed SOW controls.

Quotes and payment

• Quotes are fixed-scope unless we agree in writing to change the scope.
• A deposit or full payment may be required before work begins, as stated in your SOW.
• Invoices are due on the dates shown. Late payments may pause work until the account is current.
• Third-party costs (domains, hosting, SaaS subscriptions, ad spend, stock assets) are your responsibility unless we include them in writing.

Your responsibilities

• Provide timely feedback, content, logins, and brand assets needed to complete the project.
• Ensure you have rights to any content, photos, or trademarks you supply.
• Review deliverables during agreed revision rounds and report issues promptly.
• Maintain backups of any systems you control outside our scope after launch.

Intellectual property

Upon full payment for a project, you receive ownership of the custom work product defined in your SOW (typically site design, page layouts, and copy we wrote for you), excluding third-party tools, licensed fonts, stock media, and our pre-existing frameworks or code libraries.

We may showcase completed work in our portfolio and marketing unless you request otherwise in writing before launch.

Acceptance and revisions

Revision rounds and approval steps are defined in your SOW. Work beyond that scope is billed at our then-current hourly or packaged rate, quoted before we proceed.

Launch may proceed when deliverables match the agreed SOW or when you approve them in writing.

Disclaimer

We build for performance and clarity, but we do not guarantee specific rankings, traffic, revenue, or lead volume. Search and ad platforms change without notice.

The site and its content are provided "as is" to the extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, Grey Chair Digital LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the twelve months before the claim.

Termination

Either party may terminate a project as described in the SOW. You pay for work completed and non-refundable third-party costs through the termination date.

Referral program

Referral fees are paid when a referred project is closed, funded, and not refunded, at the rate stated on our referral program page. We may modify or end the program with notice on the site.

Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes will be brought in courts located in Hamilton County, Ohio, unless we agree otherwise in writing.
